Affiliate Terms of Service

By participating as a legal entity or individual affiliate (hereinafter: “Affiliate Party”) in the promotion of the website “Promptmaster” (hereinafter: "Website") developed and operated by Promptmaster INC. (128 Sunset Blvd #1546, New Castle, DE 19720, United States, EIN: 93-2117109; hereinafter: "Company" or "We", "Our", "Us"), you agree to be bound by these Terms. Please ensure that you read these Terms carefully before participating.

1. Registration

Before you can contribute to promoting the Website, you must register on the Website as an Affiliate. This will provide you with access to our dedicated affiliate portal (hereinafter: “Affiliate Portal”),which offers various functionalities to help you promote the Website, track your downline and your earnings, and manage your payment and other data. You must be at least eighteen (18) years old to participate. By registering as an Affiliate Party, you represent and warrant that you have the legal capacity to enter a binding contract without the approval or consent of any other party and are fully able to comply with these Terms.

To register as an Affiliate Party, you must provide your name and a valid e-mail address on the following site: https://promptmaster.samcart.com/affiliates/signup. After signing up, we will contact you via e-mail with further information on the onboarding process.

The Affiliate Portal is available for our Affiliate Parties via https://promptmaster.samcart.com/affiliates/login

Each account opened on the Affiliate Portal is for use by either a single legal entity or an individual user. Please do not share your username and password with anyone else. You are solely responsible for the security of your username and password. You agree to ensure that the information you provide Us upon registration and on the Affiliate Portal is always complete, accurate, and up-to-date (you can update it anytime in your account).

2. The Referral Link

Upon signing up as an Affiliate Party, you will be provided with a unique referral link (hereinafter: “Referral Link"),which is the primary tool you can use to promote the Website. You are responsible for ensuring that the Referral Link is correctly formatted.

If, within 30 days of using your Referral Link, a user makes a purchase; (iii) sign up as an Affiliate Party. If the users do not engage in any of the actions above within 365 days but later return without following your Referral Link, they will not be included in your downline. For further information on how the Referral Link works, please consult the Promptmaster Affiliate Program User Guide, available on the Affiliate Portal.


4. Commission Payment

Affiliate Party is entitled to receive commission payment after the purchases of users and/or other Affiliate Partners that are part of your downline.

Commission payment will be granted only in respect of orders regarding which the user did not apply for a refund within the respective 14-day withdrawal period. Thus, payments are reviewed and approved 30 days after purchase. The accrued commission is paid once per month, following payment approval, and only when your commission totals 300 USD or more. We may delay crediting of commission subject to risk analysis considerations and anti-money laundering procedures. Were serve the right to disapprove commissions earned through fraudulent, illegal, or overly aggressive, dubious sales or marketing methods. 

Commission is exclusive of all taxes, contributions, and other fees of any other kind imposed on your actions within the scope of promoting the Website, assessment, declaration, and payment of which – if applicable - shall be your sole responsibility.

Commission payment levels are available for your information via the Affiliate Portal.

The commission payment levels and percentages are subject to change at our discretion. Commission is always calculated from Our net order income minus a relevant transactional fee (3-4%). The Affiliate Party can choose the preferred payment method on the Affiliate Portal and provide relevant payment details. Available options are international bank transfer, wire or ACH.

Please note that the cookie settings of the user may influence whether they can be associated with the Affiliate Party. The Company is under no obligation to grant commission after user purchases that could not undisputedly be tracked to a member of the Affiliate Party’s downline.

Users who subscribe to Courses and place orders on the Website through referrals will be bound by the Company’s related terms of service, rules, and policies, which may be subject to change from time to time. The Company reserves the right to terminate any user’s account and/or access to the Courses if that party defaults on their payment obligations and/or if, in Our sole discretion, they are deemed to violate any of Our terms, rules, or policies, even if such a termination affects your right to a commission or the amount Commission.

5. Violations, Suspension and Termination

Affiliate Parties can register only one (1) account each for promoting the Website. Please note that registering multiple accounts qualifies as fraudulent or illegal marketing and is in violation of these Terms. Affiliate Parties must refrain from all activities, practices, or conduct that may constitute the manipulation of the Referral Ecosystem Structure and/or the commission to be paid.

Affiliate Partners may not misrepresent or embellish the relationship with the Company, give the impression that they take part in the development of either the Website or the Courses or express or imply any relationship with the Company than as provided for under these Terms.

Affiliate Partners may not promote the Website on any website, communication, or platform that contains explicitly deceptive, fraudulent, offensive, obscene, violent, illegal, harassing, hateful, or pornographic content. Affiliate Partners agree that the Company has sole discretion to determine whether such content is present.

Affiliate Partners may not use any form of click-generators or cookie-stuffing techniques that result in apparent clicks without the user actually clicking on Referral Links. Affiliate Partners may not artificially generate clicks or create visits to the Website, whether by way of a bot, software, code, or otherwise. Affiliate Partners may not use any form of spyware, malware, trojan, tracker, virus, or similar, in connection with the Referral Link, or otherwise in connection with the promotion of the Website.

The Affiliate Party may not diminish, damage, or weaken the reputation of the Company, the Website, the Courses, or any other products offered on the Website.

Affiliate Parties who use social media and other digital platforms to promote the Website may only do so in compliance with each social media platform’s and internet service provider’s privacy policy and terms of use. Unsolicited commercial communications are generally prohibited. 

The Company is entitled to monitor and investigate the actions of Affiliate Parties if the Company suspects the breach of these Terms. The Company is allowed to terminate the contract concluded with the Affiliate Party upon their registration and ban any e-mail address, IP address, or other account perceived to be in relation with the Affiliate Party in breach, and also deactivate any accounts on the Affiliate Portal and disapprove, suspend or cancel any payment due. In such cases, the Affiliate Party must also remove any Referral Link, or other marketing material they used to promote the Website.

6. Intellectual Property

Software, graphics, and user interface of the Affiliate Portal are the property of the Company and any third parties involved in the operation of the Affiliate Portal. You may not use the Affiliate Portal in a manner that violates the intellectual property rights of the Company or third parties. Don’t try to transfer or resell content from the Affiliate Portal in any way. Registration does not entitle you to generally copying, distributing, transmitting, publicly displaying, publicly performing, reproducing, editing, translating, reformatting, or sublicensing material or any other intellectual property contained on the Affiliate Portal.

However, we may occasionally provide you with graphical images through the Affiliate Portal that are explicitly marked for use with the Referral Link to promote the Website. You may not modify any such images in any manner. We reserve the right to change or withdraw the images at any time without notice, in which case Affiliate Partners must remove prior versions as soon as possible from all websites and communications in which they used them.

7. Limitation of Liability

You are solely responsible for the development, operation, and maintenance of your website and for any and all materials you use our Referral Link.

We will determine the prices to be charged for Courses and other orders placed on the Website per our pricing policies. Prices and availability may vary from time to time. Therefore you should not display prices on any of your websites or in any communication you may use to promote the Website.

We intend to continue developing and enhancing our Website and the Affiliate Portal. Still, we do not guarantee or represent that they will operate uninterrupted or error-free. All information and material available through the Website and the Affiliate Portal are provided "as is," and neither the Company nor its affiliated undertakings shall be liable for indirect or consequential damages under any circumstances. We make no warranty that you will obtain specific results and/or any earnings from your enrollment as an Affiliate Party.

In addition, you agree to indemnify and hold harmless the Company, its affiliates, and their employees, agents, representatives, officers, and partners from and against any claims, damages, expenses, and costs (including, but not limited to, attorneys’ fees) that may result out of or relating to your actions as an Affiliate Party – including mainly but not limited to any infringement of relevant rules on taxation, data protection or advertising (including spamming).

Even if we are delayed in exercising our rights or fail to exercise a right in one case, it doesn’t mean we waive our rights under these Terms, and we may decide to enforce them in the future. If we choose to waive any of our rights in a particular instance, it doesn’t mean we waive our rights generally or in the future.

8. Relationship of Parties

The Affiliate Partner and the Company are independent contractors, and nothing in these Terms will create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliate Partners must refrain from any statement contradicting anything in these Terms. Affiliate Partners have no authority to make or accept any offers or representations on behalf of the Company. 

The Affiliate Partner may not assign its rights or obligations under these Terms to any party without the Company’s explicit, written approval, provided in the Company’s sole and absolute discretion, and any attempt to do so will be void and without effect.

9. Notices

The Company may notify Affiliate Partners at the email address they provided upon registration. You will be deemed to have received all notices sent to that email address, even if the email address associated with your account is no longer current. Any notice will be deemed received 24 hours after it has been sent.

10. Governing Law

The laws of Hungary govern these Terms, and Hungarian courts shall exclusively resolve any dispute arising out of or relating to these Terms. Disputes may only be brought individually, not as a plaintiff or class member in any purported class, consolidated, or representative action. No consolidation of actions is permitted.

Please allow us an opportunity to address any of your concerns before initiating any formal action, as the majority of disputes can be resolved amicably outside of court. Upon registering as an Affiliate Party, you agree to first attempt to resolve the dispute amicably by sending us notice at support@promptmaster.com.

11. Changes to the Terms of Service

We reserve the right to alter, modify, or add to these Terms at any time and without prior notice. We will notify You of any changes to the Terms by posting the revised Terms to the Affiliate Portal and updating the "Last updated" date at the top of these Terms. You may be informed of any material changes by other means as well (dedicated e-mail, system message on the Affiliate Portal, etc.). You are advised to review these Terms for any changes periodically. By continuing to use the Affiliate Portal, you consent to any modifications, amendments, or additions to these Terms.
